Terms of Use

Humaneering Technology Initiative, LLC (“HTI”) provides this website, (the “Site”), and any related courses, programs, services, materials or offerings for your use (the “Content”), subject to the following terms and conditions (“Terms”):

By accessing and using the Site, you agree to these Terms. If you do not agree to these Terms, or are legally unable to agree to these Terms, you may not use the Site. We may change the Terms periodically, and will post these changes for your review at By continuing to access and use the Site after any changes to these Terms have been made, you agree to be bound by such revised Terms.   1. Copyrights

Except where indicated otherwise, all content and functionality of the Site, including text, course content and materials, videos, graphics, logos, icons, and images, including their selection and arrangement, is the exclusive property of HTI or its licensors, and is protected by U.S. and international copyright laws. Neither the content nor functionality of the Site may be copied, reproduced, modified, published, uploaded, posted, transmitted, or distributed in any way without HTI’s written permission. HTI’s written permission to “Print, Save, or Email” a page of the Site is granted for pages on which the “Print, Save, or Email” option is displayed on the page.

  1. Trademarks

The trademarks, service marks, designs, and logos (collectively, the “Trademarks”) displayed are the registered and unregistered Trademarks of HTI and its licensors. You agree that, except as expressly permitted by written agreement between you and HTI (e.g., HTI’s IP License Agreement with you, the “Print, Save, or Email” option), or direct quotation with appropriate source citation, you will not otherwise refer to or attribute any information to HTI in any public medium (e.g., interview, article, presentation, press release, web site or social media) for informing or influencing any third party.

  1. Use of Content

HTI hereby grants you a limited, non-exclusive, non-transferable license, for the term of this agreement, to access, download, and display the Content to which you are intentionally provided access by means of HTI’s design of the Site, solely for your personal and non-commercial use. You may not otherwise reproduce, modify, distribute, transmit, post, or disclose any Content without HTI’s prior written consent, as also noted in Section 1 and Section 2 of the Terms.

In no event may you attempt to gain access to the Site, any part of the Content, or any other materials, information, data, networks or systems owned or operated by HTI through any means not intentionally made available to you by HTI. In addition, you agree not to use robots, spiders, scripts or web-scraping tools to scrape, or otherwise download or collect any Content from the Site.

  1. Membership

Access and use of Content not yet released openly and freely to the public, plus participation in professional development programs and access to HTI’s “Early Access” products and services, requires that you first register and pay an annual fee, thereby creating a Member Account and becoming a Humaneering Community Member (“Member”). You or, if a member or employed by a sponsoring organization and included in a group registration, your sponsoring organization must provide to us, either directly or indirectly, your first and last name and an email address. You must also select a user password and, for certain functionality, you may be required to pay additional fees and provide additional information for research or support purposes. You and/or your sponsoring organization may also be prompted to provide additional optional information about yourself, including biographical, employment and other information. This information comprises your Member Account Information (your “Information”).

You agree that you and your sponsoring organization will provide HTI with accurate Information and notify HTI promptly if any of this Information changes. You also acknowledge that you are responsible for maintaining the privacy and security of your Member Account name and password. You may not share access to your Member Account with any third party for any reason. You must notify us immediately if you believe your Member Account privacy or security has been compromised. HTI’s use of your Information is subject to our Privacy Policy, which can be found at We may retain Information indefinitely for ensuring compliance with these terms and any applicable legal requirements, to modify and improve the Site, its Content, related program and service offerings, and for any other purposes authorized by these Terms or our Privacy Policy.

  1. Member-Created Content

During your use of the Site and/or HTI programs and services, you may have the opportunity to submit, post, publish, distribute, or otherwise share information, images, videos, materials, data or other content, including posts to discussion forums or message boards; survey, questionnaire, or assessment responses; work product (in electronic or physical form) by you and others; modifications to or commentary about Content; and feedback or comments about the Site. You acknowledge and agree that by providing this Content you automatically grant, and hereby do grant, to HTI a worldwide, non-exclusive, transferable, assignable, sublicensable, fully paid-up, royalty-free, perpetual, irrevocable license and right to use, reproduce, publish, distribute, modify and otherwise capitalize on such Content for any purpose, and in any form or media, not prohibited by applicable law. You also grant to other Members a non-exclusive license to access, reproduce and use your Content during their own use of HTI services in compliance with these Terms. In addition, you hereby waive any claims against HTI for any alleged or actual infringement of any rights of privacy or publicity, intellectual property rights, moral rights, or rights of attribution for our use of your Content as permitted by these Terms.

You covenant that you shall not submit or otherwise publish on the Site or otherwise provide to us any Content that

(a) is threatening, libelous, defamatory, or obscene;

(b) would constitute, or that encourages conduct that would constitute, a criminal offense, give rise to civil liability, or otherwise violate applicable law;

(c) infringes the intellectual property, privacy, publicity, or other rights of any third parties;

(d) contains a computer virus or other malicious or destructive element;

(e) contains advertising;

(f) constitutes or contains false or misleading statements, including misrepresenting your identity or your reason or intent in accessing the Site or providing any such Content; or

(g) violates these Terms or is designed to interfere, or would reasonably be expected to interfere, with HTI’s provision of the Site and the reasonable use and enjoyment of other users of the same.

HTI does not and cannot review all Member-provided Content, and we are not responsible to you or any other party with respect to, and do not endorse or make any representation or warranty with respect to, any Content provided or made available by other Members of the Site. We reserve the right to refuse to accept or publish any Content, and to remove any previously accepted or published Content, in whole or in part, for any reason or for no reason.

  1. Notices of Infringement and Takedown

In addition to the limitations on Member-provided Content set forth in Section 5, HTI prohibits the posting of any information on this Site that infringes or violates the copyright rights and/or other intellectual property rights of any person or entity (i.e., including rights of privacy and publicity). If you believe that your intellectual property right (or a right that you are responsible for enforcing) is infringed by any Content on the Site, please write to HTI at the address shown below, providing a written statement that contains:

(a) identification of the copyrighted work and/or intellectual property right claimed to have been infringed;

(b) identification of the allegedly infringing material that is requested to be removed;

(c) your name, address, and daytime telephone number, and an e-mail address if available;

(d) a statement that you have a good faith belief that the use of the copyrighted work and/or exercise of the intellectual property right is not authorized by the owner, its agent, or the law;

(e) a statement that the information in the notification is accurate, and, under penalty of perjury, that the signatory is authorized to act on behalf of the owner of the right that is allegedly infringed; and

(f) the signature of the intellectual property right owner or someone authorized on the owner’s behalf to assert infringement of the right. (Note: U.S. law provides significant penalties for submitting such a statement falsely.)

Upon our receipt of such a statement (or any statement in conformance with 17 U.S.C. Section 512(c)(3)), HTI will remove any posted material that infringes the copyright or other intellectual property right of any person under U.S. law. Persons who repeatedly submit infringing or unlawful material will be prohibited from posting further submissions.

  1. Disclaimers

The content and functionality of the Site, including Content and all HTI products and services, are provided “as is” without warranty of any kind, either expressed or implied, including without limitation implied warranties of merchantability and fitness for any purpose. We make no warranty that

(a) the Site or any other aspect of HTI will operate in an uninterrupted or error-free manner;

(b) that HTI, the Site, the Content or any user or Member-created Content is free of viruses or other harmful components;

(c) that any defects in HTI, the Site, the Content, or user or Member-created Content will be identified or corrected, and

(d) that HTI, the Site, the Content, or user or Member-created Content will meet your needs or expectations.

HTI is not an accredited, degree-granting educational institution. HTI, this Site, the Content, and HTI’s products and services provided are intended for educated adults who seek organizational development and individual career development principles, knowledge, and tools (i.e., technology), and related products (e.g., courses, materials, access to experienced professionals) and services (e.g., coaching, consulting, problem solving). HTI makes no warranties, expressed or implied, as to

(a) the ownership, accuracy, relevance or adequacy of HTI, the Site, the Content or any HTI products and services;

(b) the impact, results or benefits that may accrue to users of HTI, the Site, the Content or any HTI products and services; and

(c) the continuing availability of HTI, the Site, the Content, or any HTI products and services.

HTI shall have no liability or responsibility for any information published on linked web sites, contained in any user- or Member-provided Content published on or made available to you through HTI or the Site, or provided by third parties.

Except as prohibited by law, neither HTI nor our third part licensors and content providers shall be liable to you, your sponsoring organization or any other person or entity for an indirect, incidental, consequential, or punitive damages or losses or for lost revenues or profits, whether or not advised of the possibility of such damages or losses and regardless of the theory of liability, in connection with your use of HTI, the Site, the Content, or any HTI products and services, or any action, inaction or decision taken by you or any other party in connection therewith.

In no event will HTI’s aggregate liability with respect to all claims, actions and events arising out of HTI’s provision to you of the Site, the Content or HTI products and services exceed the cumulative fees, if any, received by HTI from you during the preceding year.

  1. Third Party Services

The Site, certain elements of the Content, and certain features of HTI products and services may be provided directly or indirectly by third parties. By using HTI, the Site, the Content or any HTI products and services, you acknowledge and agree that HTI may provide such third parties with access to the Site and any user- or Member-created Content provided by you in any manner and for any purpose consistent with these Terms and our Privacy Policy.

In addition, certain aspects of the Site may be developed, hosted, maintained, supported and/or delivered directly or indirectly by third parties. In connection therewith, such third-party providers may also receive access to user- and Member-created Content, Member Information and other information about your use of HTI, the Site, the Content or HTI’s products and services. Consistent with HTI’s Privacy Policy, third-party providers are required to maintain as confidential any personally-identifiable information about you and your use of HTI, the Site, the Content or HTI’s products and services to which they may have access.

  1. Privacy

HTI is committed to respecting your privacy and protecting your personally-identifiable information (which is also referred to in some contexts and under some applicable laws as your personal data). HTI’s Privacy Policy (available at describes how we use and protect, and how and with whom we may share, your personally-identifiable information.

Your use of HTI, the Site, the Content and HTI’s products and services is subject to and governed by these Terms and HTI’s Privacy Policy, and by using the Site or by otherwise using the Content or HTI’s products and services you confirm your agreement with, and understanding of, our Privacy Policy.

  1. Termination; Discontinuation

You agree that HTI, in its sole discretion, may terminate your access and use of HTI, the Site, the Content or HTI’s products and services, for any reason or no reason, upon notice to you. In addition to the disclaimers set forth in Section 7, you acknowledge and agree that HTI reserves the right, at any time in our sole discretion, to cancel, delay, reschedule, or alter the format of the Site, the Content or any HTI product or service, or to cease providing any part or all of HTI, the Site, the Content or HTI products and services, and you agree that your right to use HTI, the Site or the Content (or a portion thereof), and any HTI product or service (or all products and services) shall cease immediately, and that HTI shall have no liability to you or any third party for such action.

If you no longer desire to have access to the Site, you may refrain from accessing the Site and, if applicable, terminate your Humaneering Community Membership (i.e., Member Account) at any time. The rights granted to you hereunder will terminate automatically upon any termination of your right to use the Site, provided that any license granted to you by HTI and any provision of these Terms or the Privacy Policy necessary to enforce or exercise your rights or HTI’s rights or obligations hereunder shall survive the termination of these Terms.

  1. Governing Law; Jurisdiction

These Terms are governed by the laws of the State of Texas without reference to the principles of conflicts of laws thereof.

  1. Miscellaneous

Use of the Site, the Content, or HTI’s products and services is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including without limitation this Section and HTI’s Privacy Policy. If any provision of these Terms is deemed invalid or unenforceable for any reason, such provision shall be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms shall continue in full force and effect. Any rights not expressly granted herein are reserved.
